3. Nature of the Offering & Securities Exemptions

All offerings presented on this site are conducted pursuant to exemptions from registration under the Securities Act of 1933, including but not limited to:

• Regulation D, Rule 506(b) — offerings to up to 35 non-accredited but sophisticated investors and an unlimited number of accredited investors, without general solicitation

5. Platform Fees

The Platform charges an upfront 5% administrative fee on the purchase of fractional shares to cover organizational and compliance costs. This fee is applied at the time of purchase and is non-refundable. By investing through this platform, you acknowledge and agree to this fee structure. Additional fees may apply for specific offerings and will be disclosed in the applicable offering documents.

6. Electronic Delivery

You consent to receive all offering circulars, tax documents (including Schedule K-1s), investor reports, account statements, and other required disclosures electronically via email or through the platform. It is your responsibility to maintain a valid email address and to promptly notify us of any changes. You may withdraw consent to electronic delivery by contacting us, though this may affect your ability to participate in offerings.

• Your violation of these Terms
• Your violation of any applicable law or regulation
